These Terms of Service (“Terms”) govern your access to and use of our website at [erep.ai] (the “Website”), our email automation platform (the “Platform”), and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using the Services, you represent that you meet these requirements.
2. Account Registration
To use the Platform, you must create an account by providing accurate information (e.g., name, email, company details). You are responsible for:

3. Subscriptions and Payments

4.3 Compliance with Email Laws

6. Intellectual Property
6.1 Our Rights
We own all rights to the Services, including the Website, Platform, AI algorithms, and related content (excluding User Content). You receive a limited, non-exclusive, non-transferable license to use the Services per these Terms.
6.2 Your Content
You retain ownership of data you upload or create in the Platform (“User Content”), such as email templates or contact lists. You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process User Content to provide and improve the Services. We use industry-standard security measures (see Privacy Policy) and partner with Hyperbolic to provide secure AI processing. While we strive to protect your data, you acknowledge that no system is entirely risk-free. You agree to use the Services at your own risk.
8. Termination

You may stop using the Services and cancel your subscription at any time per Section 3.3.
8.2 By Us
We may suspend or terminate your access if you:
- Violate these Terms.
- Fail to make payments.
- Engage in activities that harm the Services or others.
Upon termination, you must stop using the Services, and we may delete your account data (subject to our Privacy Policy).
9. Disclaimers
The Services are provided “as is” without warranties of any kind, express or implied, including for merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee:
- Uninterrupted or error-free operation.
- Accuracy of AI-generated content or campaign results.
- Third-party service availability (e.g., Gmail, CRMs).
10. Limitation of Liability
To the fullest extent permitted by law, Pipestry, LLC, its affiliates, and partners (including Hyperbolic and Stripe) will not be liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits, data loss) arising from the Services. Our total liability is limited to the amount you paid us in the 12 months prior to the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims, losses, or damages arising from:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms or applicable laws.
12. Governing Law and Dispute Resolution

These Terms are governed by Colorado law, without regard to conflict of law principles.
12.2 Disputes

- Entire Agreement: These Terms, with our Privacy Policy, are the complete agreement between you and us.
- Severability: If any provision is unenforceable, the rest remain in effect.
- No Waiver: Our failure to enforce a provision does not waive it.
- Assignment: You may not assign these Terms without our consent. We may assign them freely.
